You agree to use our website and Services only for lawful and legitimate purposes. 5. Customer and End User Responsibility

Where you use our Services to collect, monitor, process, or analyze data through IoT devices, sensors, gateways, cameras, meters, or connected systems, you are responsible for ensuring that you have the legal right to collect and process such data, end users or affected individuals are properly informed where required, any required consent or legal basis has been obtained, and your use of the Services complies with applicable laws and internal policies. LTS is not responsible for unlawful data collection, improper deployment of devices, or misuse of the Services by the customer or its end users.

6. IoT Devices and Operational Data

Our Services may process data generated from IoT devices, including sensor readings, device status, alerts and notifications, environmental data, location or site data, equipment performance data, user activity logs, and operational reports. You acknowledge that IoT data may depend on device quality, network coverage, configuration, installation conditions, third-party systems, and environmental factors. LTS does not guarantee that IoT data will always be uninterrupted, error-free, real-time, or fully accurate unless expressly agreed in a signed service agreement.

7. High-Risk Use

Unless expressly agreed in writing, the Services are not intended to be used as the sole system for high-risk, life-critical, or safety-critical operations. This includes life support systems, emergency response systems, critical medical decisions, aviation control, nuclear facilities, military applications, or any environment where failure may lead to death, serious injury, or major property damage. If you use the Services in such environments, you do so at your own risk and remain responsible for all required safety, backup, and compliance measures.

8. Fees and Payment

Where our Services are provided on a paid basis, fees, billing cycles, payment terms, and taxes will be set out in the applicable quotation, proposal, order form, subscription plan, or service agreement. Unless otherwise agreed in writing: fees are payable according to the agreed billing cycle; fees are exclusive of VAT and applicable taxes; late payment may result in suspension or termination of Services; subscription or service fees are non-refundable unless expressly agreed; and any invoice dispute must be raised before the payment due date.

9. Service Availability and Support

We aim to provide reliable and secure Services. However, we do not guarantee that the Services will be available at all times. Service availability may be affected by scheduled maintenance, internet or telecom failures, cloud hosting issues, device or gateway failures, power outages, cybersecurity incidents, third-party service interruptions, or force majeure events. Support levels, response times, uptime commitments, and maintenance obligations will apply only if expressly stated in a signed agreement or service-level agreement.

10. Third-Party Services

Our Services may integrate with or rely on third-party products and services, including cloud hosting providers, connectivity providers, hardware manufacturers, payment providers, maps, APIs, or analytics tools. We are not responsible for the performance, security, availability, or terms of third-party services. Your use of third-party services may be subject to their own terms and privacy policies.

11. Intellectual Property

All intellectual property rights related to our website, platforms, software, dashboards, designs, content, trademarks, logos, documentation, reports, and technology remain owned by LTS or our licensors. 14. Suspension and Termination

Upon termination, your right to use the Services will end immediately, any outstanding fees will become due and payable, and data export, retention, or deletion will be handled according to the applicable agreement and our Privacy Policy.

15. Disclaimer of Warranties

To the maximum extent permitted by law, our website and Services are provided on an “as is” and “as available” basis. We do not guarantee that the Services will be uninterrupted or error-free, all defects will be corrected, the Services will meet every customer requirement, data will always be accurate, complete, or real-time, third-party systems will remain available or compatible, or the Services will be free from cyber threats or unauthorized access. Any specific warranties must be expressly stated in a signed agreement.

16. Limitation of Liability

To the maximum extent permitted by law, LTS will not be liable for any indirect, incidental, special, consequential, punitive, or loss-related damages, including loss of profits, revenue, business interruption, data, goodwill, system downtime, third-party claims, or unauthorized access caused by customer negligence. Unless otherwise agreed in writing, LTS’s total liability for any claim related to the Services shall not exceed the amount paid by the customer to LTS for the affected Service during the three months preceding the claim.

17. Indemnification

You agree to indemnify and hold LTS, its directors, employees, affiliates, partners, and suppliers harmless from any claims, damages, losses, costs, or liabilities arising from your use or misuse of the Services, your breach of these Terms, your violation of applicable laws or regulations, your infringement of third-party rights, data collected or processed through your devices or systems, and claims made by your end users, customers, employees, or contractors.

18. Force Majeure

LTS shall not be liable for any delay, failure, or interruption caused by events beyond our reasonable control, including natural disasters, internet or telecom failures, power failures, cyber-attacks, government actions, war or civil unrest, pandemics or public health restrictions, labor disputes, failure of suppliers or third-party providers, or any other event beyond reasonable control.

These Terms shall be governed by the laws and regulations of the Kingdom of Saudi Arabia.
